GIVEAWAY ## OFFICIAL RULES These Official Rules ("Official Rules") govern each giveaway sponsored by Offsite Experiences, Inc., 800 Third Avenue, Suite A #1480, New York, NY 10022 ("Sponsor") that references these Official Rules (the "Giveaway"). The Giveaway is administered on the landing page or entry page where it is promoted (the "Website"). The Website forms part of these Official Rules and states the Giveaway's entry period, prize, approximate retail value, number of winners, and selection date. If the Website and these Official Rules conflict, these Official Rules control. By submitting an Entry (defined below), each entrant ("Entrant") agrees to be bound by these Official Rules. No purchase necessary. This is a sweepstakes open only to individual legal residents of the fifty (50) United States and the District of Columbia who are age 18 or older. Void where prohibited. The Giveaway is not sponsored, endorsed, or administered by any partner, publisher, or event organizer that promotes it, by any brand associated with a prize, or by any other third party. - NO PURCHASE NECESSARY NO PURCHASE, PAYMENT, OR DONATION IS REQUIRED TO ENTER OR WIN. A PURCHASE, PAYMENT, OR DONATION WILL NOT INCREASE AN ENTRANT'S CHANCES OF WINNING. WINNERS WILL BE SELECTED IN A RANDOM DRAWING FROM ALL ELIGIBLE ENTRIES RECEIVED DURING THE ENTRY PERIOD. - ELIGIBILITY The Giveaway is open only to individuals who are legal residents of the fifty (50) United States or the District of Columbia and who are at least eighteen (18) years of age, or the age of majority in their state of residence if older, at the time of entry. Sponsor reserves the right to verify eligibility and to disqualify any Entrant who submits false, misleading, or incomplete information. Employees, officers, and directors of Sponsor, its parent companies, affiliates, subsidiaries, and advertising or promotion agencies, and of any partner, publisher, or event organizer promoting the Giveaway, as well as the immediate family members (spouse, parents, siblings, and children) and household members of each such individual, are not eligible to enter or win. Entrants are responsible for confirming that accepting a prize is permitted under their employer's policies. If a Winner's employer does not permit acceptance of the Prize, Sponsor may, in its sole discretion, offer an alternative prize of equal or lesser value that complies with the employer's policies. If no suitable alternative is available, or the Winner declines it, the Prize will be forfeited and an alternate Winner may be selected. The Giveaway is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. - AGREEMENT TO OFFICIAL RULES Participation in the Giveaway constitutes the Entrant's full and unconditional agreement to these Official Rules and to Sponsor's decisions and interpretations, which are final and binding. - ENTRY PERIOD The Giveaway begins and ends on the dates and times stated on the Website (the "Entry Period"). All times are Eastern Time. Only Entries received during the Entry Period will be considered. Sponsor is the official timekeeper for the Giveaway. - HOW TO ENTER To enter, complete the official entry form on the Website during the Entry Period (an "Entry"). Questions marked optional on the entry form are not required to enter and have no effect on an Entrant's chances of winning. Limit one (1) Entry per person and per email address. Entries that are incomplete, inaccurate, submitted through automated means, or in excess of this limit are void. - PRIZE The prize, its approximate retail value ("ARV"), and the number of prizes are stated on the Website (each, a "Prize"). Any gift card, branded product, or third-party prize is subject to the issuer's or manufacturer's terms and conditions, and that issuer or manufacturer is not a sponsor of the Giveaway. Prizes are non-transferable and may not be substituted or redeemed for cash by a winner. Sponsor may substitute a prize of equal or greater value if an advertised Prize becomes unavailable. Prizes are awarded "as is" without any warranty, representation, or guarantee, express or implied. Winners are responsible for any taxes associated with acceptance and use of a Prize. If a Prize is worth $600 or more, the winner must provide a completed IRS Form W-9 before the Prize is awarded, and Sponsor may issue applicable tax forms. Prizes will be delivered by email or mail within approximately four (4) weeks after the winner is verified. - WINNER SELECTION AND NOTIFICATION Potential winners (each, a "Potential Winner") will be selected in a random drawing from all eligible Entries on or about the selection date stated on the Website. Each Potential Winner will be notified by email using the address provided on the entry form. If a Potential Winner does not respond within five (5) business days of the notification being sent, is found ineligible, or declines the Prize, that Potential Winner may be disqualified and an alternate Potential Winner may be selected from the remaining eligible Entries. Once verified, each Potential Winner will be confirmed as a "Winner." - ODDS OF WINNING The odds of winning depend on the number of eligible Entries received during the Entry Period. - WINNER VERIFICATION Before receiving a Prize, a Winner may be asked to confirm their eligibility and acceptance of these Official Rules in writing within five (5) business days of the request. Confirmation may be completed electronically. Failure to respond in time may result in disqualification and selection of an alternate Winner. - PUBLICITY Except where prohibited, Sponsor may use a Winner's first name, last initial, company name, and job title to announce the Winner in any media without further payment or consideration, unless the Winner asks Sponsor in writing not to do so. - RELEASE AND LIMITATIONS OF LIABILITY By participating in the Giveaway, Entrants agree to release and hold harmless Sponsor, any partner, publisher, or event organizer promoting the Giveaway, and their respective officers, directors, employees, agents, affiliates, subsidiaries, advertising and promotion agencies, and partners (the "Released Parties") from and against any claim or cause of action arising out of participation in the Giveaway or receipt, use, or misuse of any Prize, including but not limited to: (a) technical errors; (b) unauthorized human intervention; (c) printing or typographical errors; (d) lost, late, misdirected, or undeliverable communications; (e) errors in the administration of the Giveaway; or (f) injury, death, or property damage related to participation in the Giveaway or use of a Prize, to the maximum extent permitted by law. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANY RELEASED PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. - TERMINATION AND CANCELLATION Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Giveaway should fraud, technical failures, force majeure, or any other factor beyond its reasonable control affect the integrity or proper conduct of the Giveaway. Sponsor also reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the entry process or otherwise acting in violation of these Official Rules. - PRIVACY Information collected from Entrants is subject to Sponsor's Privacy Policy, available at [www.offsite.com/privacy-policy](http://www.offsite.com/privacy-policy?hsLang=en), and will be used for Giveaway administration, winner notification, and Prize fulfillment, and otherwise as described in that policy. Sponsor may also email Entrants about its services, and Entrants may unsubscribe at any time. - IN-PERSON AND EVENT ENTRIES If the Giveaway accepts Entries at a conference, event, or booth (for example, by badge scan, business card, or in-person form), Entrants may also enter for free by completing the entry form on the Website during the Entry Period, without attending the event. Entries received through any method count toward the limit of one (1) Entry per person. In-person and online Entries have an equal chance of winning. - SOCIAL MEDIA If the Giveaway is promoted or entered through a social media platform, including LinkedIn, Instagram, Facebook, or X, the Giveaway is in no way sponsored, endorsed, administered by, or associated with that platform. Entrants release each platform from any liability related to the Giveaway. - ENTRIES All Entries become the property of Sponsor and will not be acknowledged or returned. Proof of submission is not proof of receipt. - USE OF SUBMISSIONS By submitting an Entry, each Entrant grants Sponsor a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, edit, adapt, and publish any responses or content submitted with the Entry, in any media, for marketing, advertising, and promotional purposes, without further notice or compensation. Sponsor will not publicly attribute submitted content to an Entrant by name without the Entrant’s permission. Sponsor is not obligated to use any submitted content. - ERRORS Sponsor is not responsible for any typographical, printing, or other errors in these Official Rules, on the Website, or in any Giveaway materials. Sponsor will not award more prizes than stated on the Website. - SEVERABILITY If any provision of these Official Rules is found invalid or unenforceable, the remaining provisions will remain in full force and effect. - WINNER LIST AND QUESTIONS To request the name of the winner, or with any questions about the Giveaway, email [hello@offsite.com](mailto:hello@offsite.com) within sixty (60) days after the selection date. - GOVERNING LAW AND DISPUTE RESOLUTION This Giveaway and these Official Rules are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to this Giveaway or these Official Rules shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable rules then in effect. The arbitration shall be conducted by a single arbitrator in the English language and seated in Wilmington, Delaware, unless the parties mutually agree to another location or to remote proceedings. Entrants waive the right to a trial by jury and agree that any arbitration will proceed solely on an individual basis, and not in a class, consolidated, or representative action. The arbitrator may award on an individual basis any relief that would be available in a court of law, subject to these Official Rules. Judgment on the arbitration award may be entered in any court having jurisdiction. This arbitration provision shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.
