OFFSITE EXPERIENCES INC. EVENT PLANNING CONTEST
OFFICIAL RULES 


These Official Rules (“Official Rules”) govern the Offsite Experiences, Inc. Event Planning Contest (the “Contest”) sponsored by Offsite Experiences, Inc., 800 Third Avenue, Suite A #1480, New York, NY 10022 (“Sponsor”). The Contest is administered on resources.offsite.com/contest and related pages (the “Website”). By submitting an Entry (defined below), the entrant organization (“Entrant”) and its authorized representative agree to be bound by these Official Rules.

No purchase necessary. This is a skill-based contest open only to U.S. companies with a principal place of business in the United States, whose Entry is submitted by an authorized representative age 18+. Void where prohibited. The Contest begins [Start Date/time, ET] and ends [End Date/time, ET] (the “Entry Period”). Judging will be conducted per the criteria in Section [Judging]. Participation is subject to and conditioned on compliance with these Official Rules and all applicable laws.

1. NO PURCHASE NECESSARY
NO PURCHASE, PAYMENT, OR DONATION IS REQUIRED TO ENTER OR WIN. A PURCHASE, PAYMENT, OR DONATION WILL NOT INCREASE AN ENTRANT’S CHANCES OF WINNING. THIS CONTEST IS SKILL-BASED; WINNERS ARE SELECTED BY JUDGES USING THE CRITERIA AND WEIGHTING DESCRIBED IN SECTION 7. ENTRY IS MADE BY SUBMITTING THE MATERIALS SPECIFIED IN SECTION 5 DURING THE ENTRY PERIOD. ENTRIES THAT DO NOT COMPLY WITH THESE OFFICIAL RULES WILL BE DISQUALIFIED.

2. ELIGIBILITY
The Offsite Experiences Inc. Event Planning Contest (the “Contest”) is open only to companies that are legally registered and actively operating in the fifty (50) United States or the District of Columbia. Each eligible company that submits an entry is referred to in these Official Rules as an “Entrant.” Each entry must be submitted on behalf of an eligible company by an authorized representative who is at least eighteen (18) years of age at the time of entry and who has the legal authority to bind the company to these Official Rules and related agreements. By submitting an entry, the representative affirms that they are authorized to act on behalf of the company and agrees to these Official Rules. Sponsor reserves the right to verify eligibility and authorization and to disqualify any Entrant submitting false, misleading, or incomplete information.

During the Entry process, Entrants must complete all required fields in the official entry form available on the Website, including providing company information, event details, and attesting to authorization and acceptance of these Official Rules. Incomplete, inaccurate, or false submissions are void.

Employees, officers, and directors of the Sponsor, its parent companies, affiliates, subsidiaries, advertising or promotion agencies, and event partners, as well as current clients of the Sponsor, and the immediate family members (spouse, parents, siblings, and children) and household members of such individual, are not eligible to enter or win. The Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.

3. AGREEMENT TO OFFICIAL RULES
Participation in the Contest constitutes the Entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions and interpretations, which are final and binding.

4. ENTRY PERIOD
The Contest begins on October 16, 2025 at 10:00 AM Eastern Time (ET) and ends on October 31, 2025 at 11:59 PM Eastern Time (ET) (the “Entry Period”). Only Entries received during the Entry Period will be considered. Sponsor is the official timekeeper for the Contest.

5. HOW TO ENTER
Entrants may enter the Contest by completing the official entry form available on the Website during the Entry Period. The entry form requires accurate and complete company and event information and a confirmation of eligibility and authorization. Entries that are incomplete, inaccurate, or ineligible are void. Entries must not contain unlawful, infringing, or inappropriate content and must comply with all applicable laws. Limit one (1) Entry per Entrant.

6. PRIZE
The grand prize (the “Prize”) consists of up to 100 Concierge Plan Credits for Sponsor’s event-planning services (actual retail value, “ARV,” $25,000). The Prize may be applied only to Planning Service Fees for one (1) eligible offsite event hosted by the Winner’s company. If the total cost of Planning Services exceeds $25,000, the Winner may purchase additional services at Sponsor’s then-current rates. The Prize does not cover third-party or event-related costs (including airfare, hotel, venue, audiovisual, ground transportation, meals, permits, insurance, taxes, gratuities, or other event expenses) and does not include onsite support, which may be contracted separately per the Master Services Agreement (“MSA”) and applicable schedules.

The Prize is non-transferable, has no cash value, and may not be sold, substituted, or redeemed for cash by the Winner. The Prize is awarded “as is” without any warranty, representation, or guarantee, express or implied. Sponsor may substitute the Prize, or any portion of it, with a prize of equal or greater value if the advertised Prize becomes unavailable.

To redeem the Prize, the Winner must execute Sponsor’s MSA (including incorporated schedules) within thirty (30) days after Winner notification, and the Prize must be fully used within twelve (12) months after MSA execution. Failure to meet either deadline may result in forfeiture and selection of an alternate Winner at Sponsor’s discretion. The Winner is responsible for all taxes and filings associated with acceptance and use of the Prize; Sponsor may require a W-9/EIN and may issue applicable tax forms.

7. WINNER SELECTION AND NOTIFICATION
Following the close of the Entry Period, all eligible entries will be reviewed and judged by a panel of judges selected by the Sponsor (the “Judges”) using the criteria and weighting set out in Section 8. Judges will be employees and/or qualified contractors of Sponsor; any Judge with a material conflict of interest will be recused. One (1) potential winner (each, a “Potential Winner”) will be selected no later than November 5, 2025. Once verified, the Potential Winner will be confirmed as the “Winner.”  The Potential Winner will be notified by email using the contact information provided on the entry form. If the Potential Winner does not respond within five (5) business days of the notification being sent, the Potential Winner may be disqualified and an alternate Winner may be selected.

8. ODDS OF WINNING
The odds of winning depend on the number and quality of eligible Entries received. Entries will be scored on a 0–25 point scale for each of the following criteria (maximum 100 points total): (i) clarity and thoughtfulness of responses regarding offsite goals and challenges; (ii) alignment with Sponsor’s event-planning objectives and services; (iii) feasibility of the proposed event, including, but not limited to, expected attendance between ten (10) and one hundred (100) guests and a realistic event budget consistent with Sponsor’s typical client engagements; and (iv) overall completeness and quality of the submission. In the event of a tie, the Entry with the higher score on criterion (iii) (feasibility) will prevail; if a tie remains, the higher score on criterion (i) (clarity/thoughtfulness) will prevail.

9. WINNER DOCUMENTATION
Before receiving the Prize, the Winner must complete, sign, and return an Affidavit of Eligibility, Release of Liability, and Publicity Release, and any other documentation reasonably required by Sponsor (collectively, the “Winner Documentation”) within five (5) business days of request. Failure to fully and accurately complete and timely return all Winner Documentation may result in disqualification and selection of an alternate Winner. Winner Documentation will also include the acknowledgment and acceptance of Sponsor’s standard Master Services Agreement, which will govern the provision and use of services. Winner Documentation may be executed electronically.

10. PUBLICITY
Except where prohibited, participation in the Contest constitutes the Winner’s consent for Sponsor to use the Winner’s company name, logo, and non-confidential event details for promotional purposes in any media, worldwide, without further payment or consideration. Each Entrant also grants Sponsor a non-exclusive, worldwide, royalty-free license to use, reproduce, and display the content of its Entry for Contest administration, judging, and reasonable promotional recaps of the Contest. As a condition of accepting the Prize, the Winner also agrees to: (i) participate in a reasonable testimonial or case study regarding its experience with Sponsor’s event-planning services; and (ii) obtain and provide any consents or releases required from attendees or other participants for Sponsor to capture, use, publish, and distribute photos and video of the Winner’s event, consistent with applicable law and the MSA. Sponsor will not use Entrant Confidential Information.

11. RELEASE AND LIMITATIONS OF LIABILITY
By participating in the Contest, Entrants agree to release and hold harmless Sponsor, its officers, directors, employees, agents, affiliates, subsidiaries, advertising and promotion agencies, and partners (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt, use, or misuse of any Prize, including but not limited to: (a) technical errors; (b) unauthorized human intervention; (c) printing or typographical errors; (d) lost, late, misdirected, or undeliverable communications; (e) errors in the administration of the Contest; or (f) injury, death, or property damage related to participation in the Contest or use of the Prize, to the maximum extent permitted by law. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANY RELEASED PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

12. TERMINATION AND CANCELLATION
Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Contest should fraud, technical failures, force majeure, or any other factor beyond its reasonable control affect the integrity or proper conduct of the Contest. Sponsor also reserves the right, in its sole discretion, to disqualify any individual or company found to be tampering with the entry process or otherwise acting in violation of these Official Rules.

13. PRIVACY
Information collected from Entrants is subject to Sponsor’s Privacy Policy, available at www.offsite.com/privacy-policy and will be used for Contest administration, judging, winner notification, and Prize fulfillment, and otherwise as described in that policy.

14. GOVERNING LAW AND DISPUTE RESOLUTION
This Contest and these Official Rules are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to this Contest or these Official Rules shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect.

The arbitration shall be conducted by a single arbitrator in the English language and seated in Wilmington, Delaware, unless the parties mutually agree to another location or to remote proceedings. Entrants waive the right to a trial by jury and agree that any arbitration will proceed solely on an individual basis, and not in a class, consolidated, or representative action. The arbitrator may award on an individual basis any relief that would be available in a court of law, subject to these Official Rules. Judgment on the arbitration award may be entered in any court having jurisdiction. This arbitration provision shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.
